Moving an EP or S Pass Holder to a Related Company

Original decision diagram for moving an ep or s pass holder to a related company

Answer first. A related-company transfer usually needs a new work pass; a qualifying merger, acquisition or restructuring may instead use MOM’s change-of-business-entity process.

Classify the corporate event first

A manager saying the employee is moving within the group does not decide the MOM route. Identify whether this is a new employer in an unchanged group, a merger, an acquisition, a sole-proprietor conversion or another restructuring. Map the current employer, proposed employer, UENs, ownership event and date when legal employment is intended to change. Do not move payroll first and resolve the pass later.

Ordinary related-company transfer

MOM’s EP and S Pass change pages state that a move to a related company requires a new pass. For an EP, the related company applies for a new EP. For an S Pass, the new company needs sufficient quota and applies for a new S Pass. The official pages describe a Market Consideration Framework advertisement exception for this related-company scenario, but that does not waive other eligibility or evidence requirements.

Cancellation and issuance sequence

Plan the old pass cancellation, new pass approval and issuance, employment contract, payroll and system access as one timeline. MOM’s pages say the existing pass should be cancelled before the new one is issued. A new approval is not permission to keep working indefinitely under the old employer after employment has changed. Build a contingency for rejection or delayed issuance rather than setting an irreversible transfer date too early.

When COBE may fit

MOM provides a change-of-business-entity process for specified transfers caused by restructuring such as a merger or acquisition. Check the current criteria and document the legal event. The process is not a general shortcut for moving selected employees among affiliates. If only part of a workforce or a different business sector is involved, read the detailed route rules and obtain confirmation before relying on COBE.

Worked scenario

A holding company sells one operating subsidiary to another group entity, and twenty pass holders will move with the business. HR first tests whether the transaction meets MOM’s COBE criteria and submits within the official planning window. It separately flags two employees whose jobs will move to a different sector and three S Pass holders whose receiving-company quota needs review. No one starts under the receiving payroll until the approved route and effective date are aligned.

S Pass quota is a hard branch

A receiving company’s relationship to the old employer does not create S Pass quota. Check the company’s declared business activity, sector, local workforce and available quota at the relevant time. Do not promise the employee a transfer based only on an internal headcount spreadsheet. Salary or occupation changes may also require a new application or notification under current rules.

Build the evidence and rollback plan

Retain corporate transaction documents, organisation charts, employee lists, contracts, approvals, quota evidence, pass application and cancellation records. Assign owners for MOM, payroll, CPF, tax, benefits and access. State what happens if one pass is not approved. Separate employment-consent issues from immigration permission. This is technical sequencing, not a guarantee that MOM will approve the receiving entity or individual application.

How to use this guide

Start with the reader, decision and evidence identified above. Write the next action and owner beside every unresolved point, then set a review date. Keep authority-issued records unchanged and preserve earlier versions when a correction is made. If a fact, document or deadline does not fit the matrix, pause instead of forcing it into the nearest category. Official guidance can change, and a checklist cannot decide disputed facts or replace advice on a specific case. The strongest file shows what was known, when it was known, which source controlled the step and why the chosen action followed. Record every unresolved assumption, identify who can verify it, and never treat silence or a pending application as approval.

Decision and evidence matrix

Checkpoint Evidence to verify Stop condition
Event UENs, ownership and legal transfer document Internal label replaces event analysis
Pass route New EP or S Pass versus qualifying COBE Payroll changes before route approval
Readiness S Pass quota and cancellation plan Receiving company lacks quota or contingency
