EP Holder Taking a Second Directorship: Check the LOC First
Answer first. An Employment Pass holder should not perform duties for a second company until the employer has checked eligibility and obtained MOM’s Letter of Consent where required.

A director title can involve work
Do not assume that filing a directorship is merely passive corporate administration. MOM treats secondary directorship duties by an EP holder as work requiring prior permission through the stated LOC route. Identify the second company, actual duties, expected time and commercial relationship before making any filing or announcement. Share ownership alone does not answer the work-pass question.
Start with the primary employer
The current EP employer must support the application and confirm it has no objection. Record the business reason and any conflict, confidentiality, time-allocation or fiduciary concerns. The proposed role should generally be related to the EP holder’s primary employment through shareholding or a purpose connected to that employment. If the relationship is weak, stop and obtain a route-specific assessment.
Use the related-company test honestly
Prepare an organisation chart showing ownership and control, plus a short statement of how the companies’ activities connect. Do not manufacture a nominal link after deciding on the appointment. MOM’s FAQ describes a path for an unrelated company only with support from the relevant sector agency, and notes a specific MAS-regulated fund-manager exception for investment-vehicle boards. Those are not general exemptions.
Sequence MOM before ACRA
MOM’s process says the employer should apply for the LOC before the holder registers the directorship with ACRA. The person must not perform the second-company responsibilities while the application is pending. Wait for the written result and check its validity. If unsuccessful, the person should not take up or continue the role. Corporate minutes cannot authorise work that immigration permission does not allow.
Worked example
A regional technology group wants its Singapore EP finance director to join the board of a wholly owned local subsidiary. The employer documents the ownership link, board duties, business need and lack of objection, then applies for the LOC before any ACRA appointment. The candidate attends no subsidiary board meeting and signs no subsidiary resolutions while approval is pending. After approval, the corporate filing and internal registers are updated to match the authorised role.
Track validity and change events
MOM states that the LOC validity is tied to the EP. Add both expiry dates to the compliance calendar and review the position when the primary EP is renewed, cancelled or moved to another employer. Also review changes in ownership, duties or sector regulation. A historic approval should not be treated as permanent authority for a materially different role.
Keep four files aligned
Align the EP and LOC decision, ACRA register, board records and employment/conflict approvals. Record the actual start date of duties after permission. If advice is needed, separate work-pass permission, company-law appointment and tax or regulatory analysis.
