Hiring Before the Founder’s Work Pass: A Control Checklist
Answer first. A Singapore company may need local staff before a foreign founder has work permission, but the board must allocate genuine employer authority without letting the founder perform unauthorised local work.

Separate company capacity from founder permission
Incorporation creates a company that can contract and employ, but it does not itself give a foreign founder permission to work in Singapore. ACRA states that foreigners relocating to run the business need an appropriate work pass. MOM separately controls the pass application. Put these as two distinct gates in the launch plan. Do not use a director title, shareholding or pending application as a substitute for work permission.
Give the company a real decision-maker
The board should identify who can approve the first hire, sign the contract, supervise work, authorise payroll and handle grievances while the founder lacks local work permission. ACRA requires at least one ordinarily resident director, but residence status alone does not prove that a nominee has genuine operational authority. Record board delegations, bank controls and reporting lines that match what will actually happen.
Define the founder’s boundary
List permitted shareholder or board governance activity separately from day-to-day Singapore operations. Avoid local sales, staff supervision, service delivery or other work before the appropriate permission is in place. If the founder remains overseas, still check the facts, employment relationships and travel activity rather than assuming location resolves every issue. Obtain route-specific advice for mixed director and executive roles.
Build a compliant first-hire file
Prepare genuine job duties, objective selection criteria, salary, hours, Key Employment Terms, payroll and statutory contribution steps. Identify the supervisor who can answer daily questions and make performance decisions. Do not hire a nominal employee simply to create an appearance of substance for a pass application. The role should meet a real business need and be supported by records and resources.
Worked scenario
A foreign founder incorporates a software company but will not relocate for four months. The resident director is given documented authority to recruit an operations manager, approve the contract and oversee payroll. The founder attends shareholder-level budget meetings from overseas but does not manage the employee’s daily work during Singapore visits. The company prepares the founder’s work-pass application separately and updates delegations only after written permission and commencement.
Align the pass evidence with reality
When the company later applies for a founder or executive work pass, its business plan, job, salary, ownership, staff and operational records should tell one coherent story. Do not backdate contracts, board minutes or employment. If the initial business model changes, explain the change. Approval remains an authority decision and incorporation does not guarantee an EP, EntrePass, PR or citizenship.
Launch-day control sheet
Record each employer obligation, authorised person, system access and backup. Include hiring, contract, payroll, CPF where applicable, tax, data protection, workplace safety, leave and grievances. Add the founder’s allowed and prohibited activities until permission changes. Review the sheet before every Singapore trip and when the pass application status changes.
