Short answer: incorporating a Singapore company and being authorised to work for it are two different things. A foreign founder may arrange incorporation from overseas through a registered Corporate Service Provider, appoint the required locally resident director and own shares. That does not by itself authorise the founder to move to Singapore and run the company. ACRA says expressly that a foreigner who wants to move here to run a business needs a work pass. The safest sequence is therefore: design the business and immigration route together; incorporate without treating incorporation as permission to work; confine any visit to genuinely permitted meetings or other exempt activity; apply under the route supported by the actual business and founder profile; and begin day-to-day work in Singapore only when the relevant status allows it.

The sequencing matrix founders should use

Plan from overseas Prepare the commercial plan, negotiate with advisers and select a structure. Record who will perform any Singapore-side operational work before the founder is authorised.
Incorporate A foreigner engages a Corporate Service Provider. The company appoints at least one ordinarily resident director. The resident director is a real statutory office-holder, not a rubber stamp. All directors remain responsible for records, filings and the company’s interests.
Visit Singapore Attend company meetings or meetings with business partners on a valid Short-Term Visit Pass, where there is no contract of service or for service with a Singapore employer. A meeting permission is not a general founder-work exemption. Sales execution, supervising staff, delivering client work and operating the business need separate analysis.
Apply for a pass Use the route that matches the facts: commonly EntrePass for a qualifying venture-backed or innovative-technology founder, or an Employment Pass for a genuine professional role that clears salary and COMPASS requirements. Do not reverse-engineer a paper company, salary or job description around a desired pass.
Start Singapore work Begin the authorised role after the pass is issued and any required issuance formalities are completed. Keep actual duties, remuneration, reporting lines and business activity aligned with the application.

Incorporation solves the company question, not the work question

ACRA’s current rules require foreigners to use a Corporate Service Provider to reserve a name and register a business. Every business must satisfy its applicable local-residency requirement. For a local company, ACRA also says every company must have a director and a company secretary; the secretary must be appointed within six months. Directors cannot be “inactive” or “sleeping” directors: statutory duties apply whether or not a director is commercially active. ACRA, company directors and key officers.

This produces a common but dangerous gap. The company can exist, open a corporate account subject to bank onboarding, enter contracts through authorised people and incur expenses while the foreign founder is still overseas. The founder’s shareholding or board title does not answer whether the founder may personally perform work in Singapore. Build written delegations for local signing, payroll, customer delivery and staff supervision during that gap.

What a founder may do on a short visit

MOM says a visitor need not notify MOM merely to attend company meetings, corporate retreats or meetings with business partners for the duration of a Short-Term Visit Pass, provided the activity does not involve a contract of service or contract for service with a Singapore employer. Other listed work-pass-exempt activities generally require notification after entry and before starting, and are capped at 90 days in a calendar year. A practical test is: are you attending the company, or operating it? Reviewing a board paper at a properly convened meeting is very different from managing the sales pipeline, directing employees, performing billable work or manufacturing products for sale. When the facts sit near the line, obtain advice before travel and keep agendas, minutes and the visitor’s overseas employment records.

Choose the pass from the business evidence

EntrePass

EntrePass is not a general small-business founder pass. MOM describes it as a route for serial entrepreneurs, high-calibre innovators or experienced investors who will operate a venture-backed business or one owning innovative technologies. The applicant must have started or intend to start an ACRA-registered private limited company, hold at least 30% of it, and meet at least one published qualifying criterion. Those criteria include a qualifying funding record, accelerator support, a prior venture-backed or innovative-technology exit, qualifying intellectual property or a relevant Singapore research collaboration. Employment agencies and several other business types are excluded. MOM, EntrePass eligibility.

Timing matters. MOM’s current page says that where the registered company is more than 12 months old at application, the founder is assessed against renewal criteria. ACRA’s general foreigner summary still contains a six-month shorthand. Because MOM administers EntrePass, use MOM’s live pass page for pass timing and re-check it immediately before filing. Employment Pass

An EP application must satisfy a two-stage framework: the age-adjusted qualifying salary and, unless exempt, COMPASS. As at 15 July 2026, the starting minimum is S$5,600 outside financial services and S$6,200 in financial services, rising with age. For new applications from 1 January 2027, those starting figures become S$6,000 and S$6,600. Most applicants need 40 COMPASS points. A founder-controlled employer therefore needs more than a proposed salary: the role, ability to pay, business operations and workforce facts must withstand scrutiny. A five-question decision tree

  1. Is the founder only preparing and attending meetings? If yes, define and evidence the narrow visit scope.
  2. Will the founder perform operational work in Singapore? If yes, identify the required status before that work starts.
  3. Is the venture genuinely venture-backed or technology-innovative? If yes, test each EntrePass criterion and the incorporation clock.
  4. Is there a genuine salaried professional role? If yes, test the correct age-sector salary, COMPASS, advertising rules and the employer’s capacity.
  5. Who operates the company during the gap? Put lawful delegation, resident-director governance and customer delivery in writing.

Original risk control: assign a named owner and dated evidence to every answer. A founder immigration file fails easily when the corporate plan says one person is running Singapore while the travel and pass file says that person has not started work.
