Foreign professionals holding a Singapore Employment Pass frequently ask one question that sits at the intersection of corporate law and immigration compliance: can an employment pass holder be a director of another Singapore company? The short answer is yes — but only with the right approval from the Ministry of Manpower (MOM), and the rules differ materially depending on whether the second company is related or unrelated to the primary employer. Getting this wrong exposes both the EP holder and the appointing company to enforcement risk.

This guide sets out MOM’s exact position on secondary directorships for Employment Pass, Personalised Employment Pass (PEP), and ONE Pass holders, explains when a Letter of Consent is required, and walks through the practical steps an EP holder needs to take before accepting a board seat.

Why Directorship Counts as Work Under Singapore Law

The starting point is MOM’s classification of duties. Under Singapore’s Employment of Foreign Manpower Act, an EP holder is authorised to work only for the employer named on their pass. Directorship duties — attending board meetings, exercising fiduciary responsibilities, voting on company resolutions — fall squarely within MOM’s definition of work. This applies regardless of whether the director receives any salary, director’s fees, or other remuneration from the second company. An unpaid directorship is still a directorship, and it still requires MOM approval.

Shareholding is a different matter entirely. Per MOM’s published FAQ, an Employment Pass holder is allowed to own shares in any Singapore-registered company without restriction. Passive investment through shareholding does not constitute work. The relevant distinction is therefore between owning equity (permitted without approval) and exercising corporate governance authority as a director (requires approval).

The Letter of Consent (LOC) Requirement for Employment Pass Holder Directorship

According to MOM’s official FAQ and the dedicated secondary directorship guidance page, an Employment Pass holder may be registered as a director in another company only after obtaining a Letter of Consent (LOC) from MOM. The LOC is applied for by the company that wishes to appoint the EP holder to its board — not by the EP holder directly.

There are two distinct scenarios, and MOM applies different criteria to each.

Related Companies

MOM recognises that EP holders working in group structures often need to serve on the boards of subsidiaries, holding companies, or joint-venture vehicles that are shareholding-related to the primary employer. MOM will generally grant an LOC for a secondary directorship in a related company if two conditions are met: the second company is related to the EP holder’s employer by shareholding as reflected in ACRA records; and the directorship is taken up for purposes related to the EP holder’s primary employment (for instance, a CFO whose EP is issued by a holding company sitting on the board of an operating subsidiary). The EP holder’s primary employer must also confirm in writing that it has no objection. Processing time is within five weeks.

Unrelated Companies

If the second company has no shareholding relationship with the EP holder’s primary employer — for example, a foreign employee who wishes to sit on the board of a Singapore startup they have personally invested in — the LOC application is assessed differently. MOM refers the application to the relevant sector government agency, which evaluates whether the arrangement serves a legitimate industry purpose. Approval is not guaranteed and takes longer than the related-company route.

One important carve-out: employees of fund managers licensed by the Monetary Authority of Singapore (MAS) are permitted to take directorships in their investment vehicles, because MAS expressly supports this arrangement. This is relevant in private equity, venture capital, and family office contexts where investment professionals routinely sit on portfolio company boards as part of their investment mandate.

Step-by-Step: How the LOC Application Works

The process runs as follows:

  1. Confirm the corporate relationship in ACRA records. Before applying, verify that the shareholding link between the two companies appears correctly in BizFile+. MOM will check ACRA records during its assessment.
  2. Obtain written confirmation from the primary employer that it has no objection to the EP holder taking up the secondary directorship.
  3. Apply for the LOC through go.gov.sg/apply-secondary-directorship. The appointing company submits the application, attaching the EP holder’s appointment letter for the directorship.
  4. Await MOM’s decision — within five weeks for related-company applications; allow more time for unrelated-company referrals.
  5. Once the LOC is issued, register the directorship with ACRA via BizFile+. Do not register before the LOC is in hand — accepting board duties without a valid LOC is a breach of EP conditions.

The LOC is valid until the EP holder’s current pass expires or is cancelled. When the EP is renewed, a fresh LOC application is required. This renewal requirement is easy to overlook in large corporate groups with many cross-directorships.

How the Rules Differ: EP vs PEP vs ONE Pass

The LOC requirement is specific to Employment Pass holders. The two premium pass categories carry meaningfully different rules.

Personalised Employment Pass (PEP) Holders

The Personalised Employment Pass is not tied to a specific employer. PEP holders may engage in consulting, contracting, and directorship more flexibly, without needing an employer-specific LOC. However, MOM imposes a critical disqualification: a PEP holder who is simultaneously a director and a shareholder of any Singapore company becomes ineligible to hold a PEP. The reasoning is that such a person is effectively self-employed, and the PEP is not designed for self-employment. This catches founders who take a PEP and then invest as a shareholder in their own advisory company, or who accept a board seat in a company in which they hold equity.

ONE Pass Holders

The Overseas Networks & Expertise Pass (ONE Pass) imposes no restrictions on concurrent employment, multiple directorships, or equity stakes. A ONE Pass holder may simultaneously work for more than one employer, hold board seats across multiple companies, and own equity in Singapore-registered entities without triggering any MOM approval requirement. This flexibility is by design — the ONE Pass targets the highest-calibre global talent for whom cross-entity involvement is routine.

Three Common Scenarios at a Glance

Scenario 1 — Foreign employee invests in a startup and is offered a board seat. No shareholding link exists between the startup and the primary employer. An LOC is required. The application is assessed by a sector agency. The EP holder must not accept any board duties until MOM approves. Owning shares in the startup without a directorship requires no approval.

Scenario 2 — Group Finance Director sits on a subsidiary’s board. The subsidiary is wholly owned by the EP holder’s employer. The LOC application to MOM is straightforward, provided the directorship is related to the primary role and ACRA records reflect the group relationship correctly.

Scenario 3 — MAS-licensed fund manager employee joins a portfolio company board. MAS supports this arrangement as part of investment oversight. The LOC application will be supported by MAS; approval is generally forthcoming for investment professionals whose directorships are directly connected to their fund management duties.

Quick Reference: Directorship and Shareholding Rules by Pass Type

Pass Type Directorship (Related Company) Directorship (Unrelated Company) Shareholding
Employment Pass Permitted with MOM LOC LOC assessed by sector agency; not guaranteed Permitted — no restriction
Personalised Employment Pass Generally permitted without employer LOC Generally permitted Permitted, but holding both director + shareholder status in any company disqualifies the PEP
ONE Pass No restriction No restriction No restriction

Enforcement Risk: What Happens Without a Valid LOC?

Accepting a directorship — or participating in board meetings and exercising director responsibilities — without a valid LOC constitutes a breach of the EP holder’s pass conditions. MOM may cancel the EP. ACRA separately may penalise the appointing company for improper corporate filings. The practical risk is highest in group structures where directorships are assigned informally as part of an organisational chart update, without the corporate secretarial team flagging the immigration approval requirement. HR and legal teams should audit their EP holders’ directorships annually and confirm that valid, current LOCs are on file for each.
